Keep Loyalty App: Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Keep Loyalty App platform (the “Service”) operated by Keep Loyalty Ltd. (“Keep,” “we,” “us,” or “our”). By signing up for, accessing, or using the Service you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • “Account” means the administrative account you create on https://keeployaltyapp.com.

  • “App” means the branded iOS and Android applications generated through the Service for your business.

  • “You” or “Customer” means the individual or legal entity that registers for an Account.

2. Eligibility & Authority

You must be at least 18 years old and have the authority to bind the business you represent. By accepting these Terms on behalf of a business, you confirm that you have the legal right to do so.

3. 30-Day Free Trial

  • Each new Account is entitled to a single, 30-day free trial starting on the day sign-up is completed (“Trial Period”).

  • During the Trial Period, all Service features are available at no charge.

  • You may cancel at any time during the Trial Period without incurring fees.

4. Subscription & Billing

  • Unless cancelled before the Trial Period ends, the Service converts to a paid monthly subscription automatically.

  • Stripe will collect £59.00 GBP (inclusive of VAT where applicable) from the payment method on file every calendar month.

  • Billing recurs on the same day of the month as the sign-up date. If that date does not occur in a given month, billing takes place on the last calendar day of that month.

  • All fees are non-refundable except as required by law.

5. Cancellation

You may cancel at any time from within your Account dashboard. Upon cancellation:

  1. Immediate Deactivation. Your branded iOS and Android Apps become unusable to end-users immediately.

  2. No Further Charges. Subscription fees cease accruing from the date of cancellation. Charges already processed are not refunded.

6. Post-Cancellation App Handling

  • Cancelled Apps remain listed on the Apple App Store and Google Play Store for 90 days but cannot be opened by end-users.

  • Within this 90-day window you may re-subscribe to restore full functionality.

  • After 90 days, Apps and all associated data are permanently deleted and cannot be recovered.

7. Customer Support

  • We aim to respond within 48 business hours of receiving your message.

8. Modifications to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be notified at least 30 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance of the revised Terms.

9. Intellectual Property

All intellectual property rights in the Service and underlying technology belong to Keep or its licensors. You are granted a non-exclusive, non-transferable licence to use the Service for your internal business purposes while your subscription is active.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Keep and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability will not exceed the total fees paid by you to Keep in the 12 months preceding the claim.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Northern Ireland. The courts located in Belfast, UK, shall have exclusive jurisdiction.
